Scope
These SaaS Terms apply to Insplify Studio and any hosted software, subscription features, dashboards, automations, AI functionality and online services identified as Insplify SaaS products (the “Service”). Public registration and paid subscriptions are not currently available.
If you use a future Service on behalf of an organisation, you must be authorised to bind it. Mandatory consumer rights cannot be excluded.
1. Eligibility and accounts
You must provide accurate information, keep credentials secure and promptly report suspected compromise to support@insplify.com. Individual accounts may not be shared to circumvent stated seat limits.
2. Plans, trials and features
Features, usage limits, seats, integrations, storage and support will be described on the applicable pricing or checkout page. Additional conditions may apply to trials, beta or early-access functionality, which may be incomplete and change more frequently.
3. Fees, taxes and payment
Paid subscriptions will be billed at the price, currency and interval displayed when subscribing, together with charges disclosed at checkout. Customers will authorise Insplify and its payment processor to charge the selected method until the subscription ends. Failed payments may be retried and paid features may be restricted after any legally required notice.
4. Renewal and cancellation
Unless checkout states otherwise, paid subscriptions will renew automatically at the end of each billing period until cancelled. Self-service cancellation must stop future renewal and will normally take effect at the end of the current paid period. Any accessible online cancellation mechanism and confirmation required by French law must be verified before paid activation.
5. Consumer and withdrawal rights
Consumers may have statutory rights relating to digital services, conformity, remedies and withdrawal. Those rights are not reduced by these terms. Any consent required to begin a service during a withdrawal period must be presented separately at checkout.
6. Acceptable use
The Service may be used only lawfully. Users must not infringe rights, distribute malware, attempt unauthorised access, interfere with security or availability, abuse rate limits, send unlawful spam, resell access without permission, or reverse engineer the Service except where such a restriction is prohibited by law.
7. User content and data
Users retain ownership of submitted content and grant Insplify a limited, non-exclusive licence to host, copy, process, transmit and display it only as reasonably necessary to provide, secure and maintain the Service, comply with law and perform contractual obligations. Users must have the required rights and lawful basis for submitted personal data.
8. Connected services
Users choose whether to connect third-party platforms. Those services are governed by their own terms, availability, permissions and privacy practices. Users are responsible for maintaining required permissions and credentials.
9. AI-assisted features
AI-assisted output can be inaccurate, incomplete, repetitive, outdated or unsuitable. Users are responsible for reviewing output before relying on, publishing, sending or acting on it. AI output is not regulated professional advice.
10. Insplify intellectual property
The Service and Insplify materials are owned by or licensed to Insplify. Subject to the applicable terms and fees, users receive a limited, non-exclusive, non-transferable and revocable right to use the Service during their subscription. No ownership transfers.
11. Feedback
Voluntary feedback may be used to develop and improve Insplify products without payment, without transferring ownership of pre-existing confidential information or User Content.
12. Changes, maintenance and availability
The Service may be maintained, updated and improved over time. Material-change notice requirements will be respected. Unless a separate service-level agreement applies, uninterrupted or error-free availability is not promised.
13. Security
Reasonable technical and organisational measures will be used to protect the Service, but no online service can guarantee absolute security. Users remain responsible for passwords, devices and connected accounts.
14. Suspension and termination
Access may be suspended where reasonably necessary to protect security, prevent fraud or abuse, address non-payment, comply with law or investigate a material breach. Termination for material or repeated breach remains subject to required notice and cure rights. Retention, export and deletion will follow the Privacy Policy and applicable documentation.
15. Refunds
Eligibility is governed by the Refund Policy, checkout terms and mandatory law. Cancellation alone does not create a refund right for an already billed period unless law or policy provides otherwise.
16. Disclaimers
The Service is a business productivity tool and does not guarantee revenue, profitability, advertising performance, sales or productivity. Mandatory warranties and remedies remain unaffected.
17. Limitation of liability
Nothing limits liability where doing so would be unlawful. For business users and to the maximum extent permitted by law, liability for indirect or consequential loss, lost profit, revenue or anticipated savings may be limited. The aggregate cap is the fees paid or payable for the Service during the preceding twelve months, except where mandatory law requires otherwise.
18. Business-user indemnity
To the extent permitted by law, business users may be responsible for third-party claims caused directly by unlawful User Content, infringement of third-party rights or a material acceptable-use breach. This does not reduce mandatory consumer protection.
19. Changes to these terms
Terms may be updated for Service, legal, security or operational changes. Material changes will receive notice where required, and applicable rights remain unaffected.
20. Governing law and disputes
These terms are governed by French law without prejudice to mandatory rights in a consumer’s country of residence. Consumer dispute-resolution and court rights provided by law remain available.
21. General terms
If a provision is unenforceable, the remainder continues where legally possible. Delay in enforcement is not a waiver. The terms, pricing and checkout terms, Privacy Policy, Cookie Policy, Refund Policy and expressly incorporated plan or processing terms will form the Service agreement.
